The rules for using ShelfMind. Please read these terms carefully before using our platform.

These Terms of Service ("Terms") govern your access to and use of ShelfMind ("Service"), operated by ShelfMind ("we", "us", "our").
By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use ShelfMind.
1. Definitions
- "Service" means the ShelfMind platform, including web application, APIs, and related services.
- "Customer" or "you" means the individual or organization that registers for an account.
- "User" means any individual authorized to access your ShelfMind account.
- "Content" means planogram files, product data, store data, and any other information you upload.
- "Subscription" means the paid plan (Starter, Professional, or Enterprise) you select.
2. Account Registration and Access
Eligibility
You must be at least 18 years old and authorized to enter into contracts. If you are registering on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
Account Security
You are responsible for:
- Maintaining the confidentiality of your login credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access
- Using strong passwords and enabling multi-factor authentication (MFA) when available
We are not liable for losses caused by unauthorized use of your account, unless due to our negligence.
3. Acceptable Use
You May:
- Use ShelfMind for lawful business purposes
- Upload planogram files, product masters, and store data you own or have rights to
- Invite team members to collaborate within your organization
- Export your data in CSV/Excel format
You May NOT:
- Upload malicious code, viruses, or malware
- Attempt to access other customers' data or accounts
- Reverse engineer, decompile, or attempt to extract source code
- Use the Service to violate any laws, including data privacy regulations
- Overload our servers with excessive API requests (rate limits apply)
- Resell or sublicense access to ShelfMind without written permission
- Upload content you do not have rights to, including competitor's proprietary data
Violation of these terms may result in immediate suspension or termination of your account.
4. Subscriptions and Billing
Free Trials
We offer free trials (14 days for Starter, 30 days for Professional). No credit card required to start. If you do not subscribe before trial expiration, your account will be downgraded to read-only access.
Paid Subscriptions
- Billing Cycle: Monthly or annual, as selected. Charges occur at the start of each billing period.
- Payment Method: We accept major credit cards and ACH (Enterprise only). Payments processed via secure third-party payment processors.
- Auto-Renewal: Subscriptions automatically renew unless canceled at least 7 days before the renewal date.
- Price Changes: We may change pricing with 30 days' notice. Existing subscriptions are grandfathered at current rates until renewal.
Refunds
We offer prorated refunds for annual plans canceled within the first 30 days. Monthly subscriptions are non-refundable but you can cancel anytime—access continues until the end of the billing period.
Overages
If you exceed your plan limits (planograms or users), we will notify you. You must upgrade your plan or reduce usage within 7 days to avoid service interruption.
5. Data Ownership and License
Your Content
You own your data. Planogram files, product masters, store data, and analytics are your proprietary information. We do not claim ownership of any Content you upload.
License to Us
By uploading Content, you grant us a limited, non-exclusive license to:
- Store, process, and display your Content to provide the Service
- Create backups and ensure data redundancy
- Generate analytics and reports based on your Content
This license terminates when you delete your Content or cancel your account (except for backup retention per our Privacy Policy).
Our Intellectual Property
ShelfMind's software, algorithms, UI design, and branding are our proprietary property. You may not copy, modify, or create derivative works without written permission.
6. Warranties and Disclaimers
Service Availability
We strive for 99.9% uptime (Professional and Enterprise SLA) but cannot guarantee uninterrupted access. Scheduled maintenance will be announced in advance.
Data Accuracy
ShelfMind processes data as provided by you. We are not responsible for errors in your source files (incorrect PSA formats, missing SKUs, invalid store mappings). Always verify analytics against your own records.
Disclaimer
THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
We do not warrant that the Service will be error-free, secure, or meet your specific requirements. Use at your own risk.
7. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHELFMIND SHALL NOT BE LIABLE FOR:
- Indirect, incidental, consequential, or punitive damages
- Loss of profits, revenue, data, or business opportunities
- Service interruptions, data loss, or security breaches beyond our reasonable control
Our total liability for any claims arising from these Terms or the Service shall not exceed the amount you paid us in the 12 months preceding the claim.
Some jurisdictions do not allow exclusion of certain warranties or liability limitations. In such cases, our liability is limited to the maximum extent permitted by law.
8. Indemnification
You agree to indemnify and hold harmless ShelfMind, its affiliates, and employees from any claims, damages, losses, or expenses (including legal fees) arising from:
- Your violation of these Terms
- Your Content or use of the Service
- Your infringement of any third-party rights (intellectual property, privacy, etc.)
9. Termination
By You
You may cancel your subscription at any time via your account settings. Access continues until the end of your billing period. After cancellation, your data remains accessible for 30 days, then is permanently deleted.
By Us
We may suspend or terminate your account immediately if:
- You breach these Terms (e.g., unauthorized access, malicious use)
- Your payment fails and you do not update billing information within 7 days
- We are required to do so by law or court order
We will provide 7 days' notice before termination (except for security violations or illegal activity).
10. Changes to These Terms
We may update these Terms from time to time. Material changes will be communicated via email or in-app notification at least 30 days before taking effect.
Continued use of ShelfMind after changes constitutes acceptance. If you do not agree with the updated Terms, you may cancel your subscription.
11. Governing Law and Disputes
These Terms are governed by the laws of India, without regard to conflict of law principles. Any disputes shall be resolved through binding arbitration in Central India, except where prohibited by law.
You waive the right to participate in class-action lawsuits or class-wide arbitration.
12. Miscellaneous
- Entire Agreement: These Terms, along with our Privacy Policy, constitute the entire agreement between you and ShelfMind.
- Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
- Waiver: Our failure to enforce any term does not waive our right to enforce it later.
- Assignment: You may not transfer your account without our consent. We may assign our rights to a successor entity (e.g., in a merger).
- Force Majeure: We are not liable for delays or failures due to events beyond our reasonable control (natural disasters, pandemics, government actions, etc.).
